D'LUX Storage, Inc Limited Warranty Addendum
Effective Date: May 26, 2026
This Limited Warranty Addendum (“Warranty Addendum”) is incorporated by reference into the D’LUX Terms of Sale and applies to all D’LUX modular steel storage units, smart-lock components, attach products (EV charging and AI security), and related hardware (“Products”).
1. Warranty Coverage
D’LUX warrants to the original Buyer (and subsequent owners where transferable) that the Products will be free from defects in materials and workmanship, subject to the coverage tiers, conditions, and exclusions set forth below.
1A. Steel Structure Warranty – Twenty-Five (25) Years
Subject to Section 3 (MMA Requirement), D’LUX warrants the following steel components against defects in materials, construction, and assembly for twenty-five (25) years from the date of delivery (“Steel Warranty Period”):
The core structural steel frame, uprights, and cross-members.
All finishes, powder coatings, doors, hinges, seals, and steel hardware components.
All assembly components, including fasteners, brackets, and anchoring hardware.
Coverage Basis: While an active MMA is in effect, qualifying defects will be remedied on a full (non-prorated) basis. If the MMA lapses and is not reinstated within the sixty (60)-day cure window set forth in Section 3, the Steel Warranty converts to a pro-rated basis calculated from the date of lapse, with D’LUX’s obligation reduced ratably over the remaining Steel Warranty Period.
1B. Electrical and Smart Component Warranty – Three (3) Years
D’LUX warrants the following electrical and smart add-on components against defects in materials and workmanship for three (3) years from the date of delivery (“Electrical Warranty Period”):
Smart-lock mechanisms (including the Noke Bluetooth lock and associated hardware).
AI security camera kit and associated power-over-Ethernet (PoE) hardware.
EV charging hardware components.
Coverage Basis: During Year 1, D’LUX will repair or replace defective electrical components at no charge (parts and labor). During Years 2–3, D’LUX will supply replacement parts; Buyer is responsible for labor and shipping costs. After expiration of the Electrical Warranty Period, Buyer may purchase an Extended Service Contract for continued parts coverage on electrical and smart components. The Electrical Warranty is non-transferable and runs with the original Buyer only.
Relocation Restriction: Electrical and smart components may only be relocated, reinstalled, or reconfigured by a D’LUX authorized distributor or certified service technician. Any installation or relocation performed by unauthorized parties will void the Electrical Warranty in its entirety. Full terms governing installation and relocation are set forth in the D’LUX Install and Relocation Policy (Exhibit B), incorporated herein by reference.
Firmware and Integration Platform: Separately warranted to substantially conform to published documentation for ninety (90) days from activation.
2. Remedy
D’LUX’s sole and exclusive obligation, and Buyer’s sole and exclusive remedy, shall be, at D’LUX’s option:
Repair of the defective Product;
Replacement of the defective Product with a new or refurbished unit of equivalent specification; or
Refund of the original purchase price of the defective Product (non-prorated).
For Steel Component warranty claims: labor costs are covered by D’LUX during the first two (2) years. Thereafter, Buyer is responsible for labor and shipping costs unless otherwise agreed in writing. For Electrical and Smart Component warranty claims: parts and labor are covered during Year 1; parts only (Buyer pays labor and shipping) during Years 2–3. Refunds under this Warranty will not exceed the original purchase price of the specific defective component.
3. Warranty Conditions – Maintenance and Management Agreement Requirement
Both warranty tiers are conditioned upon Buyer maintaining an active, current D’LUX Maintenance and Management Agreement (“MMA”) for the installed Products throughout the applicable Warranty Period. The MMA includes ongoing platform access, firmware/OTA updates, remote monitoring, and scheduled physical maintenance services.
Lapse and Cure. A lapse in the MMA (including non-payment of recurring MMA fees) will suspend (not extinguish) warranty coverage. All pending and new warranty claims will be paused from the date of lapse. Buyer has sixty (60) calendar days from the date of lapse (“Cure Window”) to reinstate the MMA in good standing, including payment of all outstanding fees. Upon timely reinstatement, suspended warranty coverage will be restored in full with no reduction in the remaining Warranty Period.
If the Cure Window expires without reinstatement: (a) the Steel Warranty converts from full to pro-rated coverage calculated from the date of lapse, as described in Section 1A; and (b) the Electrical Warranty is permanently void as of the date of lapse. Buyer must provide written proof of an active agreement upon any warranty claim.
This structure ensures continued proper operation, monitoring, and maintenance of the IoT-enabled Products, which is essential to their long-term performance, while accommodating the operational realities of institutional commercial real estate ownership and management transitions.
3A. Value Builder™ and Hybrid Model Units
For Value Builder™ and Hybrid model units where D’LUX retains asset ownership, the warranty coverage set forth in Sections 1A and 1B applies to component specifications and timelines for reference purposes. All defect remedies, maintenance obligations, and uptime commitments for such units are governed exclusively by the applicable MMA and are not subject to warranty claims under this Addendum. D’LUX’s obligations as both asset owner and service provider for these units are defined solely by the relevant MMA.
4. Warranty Exclusions
This Warranty does not cover:
Normal wear and tear or cosmetic degradation that does not affect structural integrity or core functionality.
Damage caused by misuse, abuse, negligence, accident, vandalism, or improper installation.
Failures resulting from modifications, unauthorized repairs, or tampering.
Damage from environmental conditions beyond D’LUX’s published specifications (e.g., extreme weather, flooding, fire, power surges).
Issues arising from third-party electrical systems, internet connectivity, property management integrations (e.g., Tenant Inc., Yardi), or force majeure events.
IoT connectivity interruptions, AI feature accuracy, or EV charging performance variations (these features are provided “AS IS” subject to the EULA).
5. Warranty Claims Process

Submit a written claim to support@dluxstorage.com within the Warranty Period, including proof of purchase, proof of an active MMA, and supporting documentation/photos.

D’LUX will issue a Return Merchandise Authorization (RMA) if required and provide instructions.

Buyer is responsible for return shipping unless D’LUX validates the claim and agrees otherwise.
D’LUX will make reasonable efforts to respond within 10–15 business days.
6. Disclaimer of Other Warranties
EXCEPT FOR THE EXPRESS TWO-TIER WARRANTY SET FORTH HEREIN—COMPRISING THE 25-YEAR STEEL STRUCTURE WARRANTY (SECTION 1A, FULL WHILE MAINTENANCE AND MANAGEMENT AGREEMENT IS ACTIVE; PRO-RATED UPON UNCURED LAPSE) AND THE 3-YEAR ELECTRICAL AND SMART COMPONENT WARRANTY (SECTION 1B)—ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS.” D’LUX DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
D’LUX does not warrant uninterrupted operation, perfect AI accuracy, or that the Products will meet every specific use case.
7. Transferability
The Steel Warranty (Section 1A) is transferable to subsequent owners of Brand Builder units provided: (i) the unit remains at the original property, (ii) the transferee assumes the active MMA, and (iii) all maintenance records are transferred to D’LUX in writing within thirty (30) days of ownership change. The Electrical and Smart Component Warranty (Section 1B) is non-transferable and runs with the original contracting Buyer only. Value Builder and Hybrid model units are governed by Section 3A and are not subject to transfer under this Addendum.
8. Limitation of Liability
The aggregate liability of D’LUX under this Warranty shall not exceed the original purchase price of the specific Product. The Limitation of Liability provisions in the Terms of Sale apply fully to this Addendum.
9. Governing Law This Warranty Addendum is governed by the laws of the State of Delaware, consistent with the Terms of Sale.
